Grant of Licence

2.1 Subject to the User's full and continuing compliance with this Agreement, the Licensor hereby grants the User a limited, personal, non-exclusive, non-sublicensable, non-transferable, revocable licence to install and use one (1) copy of the Software on a device owned or controlled by the User, solely for the User's own personal, non-commercial admissions preparation purposes.

2.3 The Licensor reserves all rights not expressly granted in this Agreement. No implied licences are granted.
2.4 This Licence commences upon the User's first installation or use of the Software and continues until terminated in accordance with Article XII.
Article III

Intellectual Property Ownership

3.1 The Software, including all copies, modifications, enhancements, derivative works, and Updates, is and shall remain the exclusive property of the Licensor. This Agreement transfers no title or ownership interest to the User.
3.2 All Intellectual Property Rights in and to the Software (including but not limited to the source code, architecture, design language, visual elements, brand name "The Ivory Index", the AOArose wordmark, the Voidreign crest, all module names, and all documentation) are exclusively owned by and vested in the Licensor.
3.3 Local Data created by the User remains the property of the User. The Licensor asserts no rights over Local Data. The User is solely responsible for the accuracy, legality, and content of all Local Data.
3.4 AI Output generated by locally-running language models at the User's direction does not constitute a work authored by the Licensor. The Licensor makes no intellectual property claim over AI Output, and the User assumes all risk associated with AI Output in accordance with Article VII.
Article III-A

Ownership of AI-Generated Content

3A.1 Essays and Personal Statements. AI Output in the form of essays, personal statements, statements of purpose, or similar application documents generated at the User's direction, using the User's own profile data and in response to the User's own inputs, vests in the User to the extent that any copyright subsists in such output under applicable law. The Licensor asserts no copyright ownership in such output. The User acknowledges that AI-generated text may not attract copyright protection in all jurisdictions and accepts sole responsibility for any copyright-related consequences of submitting such content.
3A.2 Scores, Rankings, and Evaluations. AI Output in the form of scores, ratings, radar chart evaluations, AO War Room assessments, school fit scores, and similar analytical outputs ("Evaluations") are generated by the Software using the Licensor's proprietary prompt architecture and methodology. The structure, format, and methodology underlying Evaluations are the Licensor's Intellectual Property. The User receives a personal licence to view and use Evaluations for their own admissions preparation purposes only. Evaluations may not be published, commercially distributed, or represented as independent third-party assessments.
3A.3 Scholarship and University Recommendations. Scholarship recommendations, university lists, and strategic guidance generated by the Software constitute AI Output derived from the Licensor's curated datasets. These outputs are provided for personal use only. The underlying datasets — including the 1,073-institution university database and 40-scholarship intelligence database — remain the exclusive Intellectual Property of the Licensor.
3A.4 No Warranty of Originality. The Licensor makes no representation that AI Output is original, unique, or free from similarity to output generated for other users. The User is solely responsible for ensuring that any content they submit to an educational institution is their own authentic work and is not substantially similar to content submitted by others, whether generated by the Software or otherwise.
3A.5 No Assignment of Model Weights. Nothing in this Agreement transfers any rights in the AI model weights, parameters, or architecture used to generate AI Output. Such model weights are the property of their respective developers (including but not limited to Meta AI for the llama3.2 model) and are governed by their own separate licences. The Licensor does not own and cannot licence model weights to the User.
Article IV

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where applicable consumer protection legislation in the User's jurisdiction renders this cap void or unenforceable, liability shall be limited to the minimum amount required by such legislation and shall not be treated as unlimited.
8.4 The limitations in this Article VIII apply regardless of the form of action, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not the Licensor has been advised of the possibility of such loss or damage.
Article IX

9.1 The User agrees to indemnify, defend, and hold harmless the Licensor and its affiliates, officers, employees, agents, successors, and assigns (each, an "Indemnified Party") from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) the User's use or misuse of the Software; (b) any violation of this Agreement by the User; (c) any submission of AI Output to any third party by the User; (d) any claim by any educational institution, government authority, or third party arising from the User's conduct; (e) infringement by the User of any intellectual property right of any third party.

12.3 Upon termination, the Licence granted herein shall immediately cease and the User must destroy all copies of the Software in their possession. Articles III, VII, VIII, IX, XIII, XIV, and XV shall survive termination.
Article XIII

Governing Law and Dispute Resolution

13.1 This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The parties irrevocably submit to the exclusive jurisdiction of the courts of India for the resolution of any dispute arising out of or in connection with this Agreement.
13.2 Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be submitted to good-faith negotiation for a period of thirty (30) days. Failing resolution, the dispute shall be referred to binding arbitration seated in India under the the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement or, failing agreement, by the International Chamber of Commerce.
13.3 Notwithstanding the foregoing, the Licensor may seek injunctive or other equitable relief in any court of competent jurisdiction worldwide to protect its Intellectual Property Rights, without being required to post bond or other security.
13.4 Pre-Launch Entity Status. The Ivory Index is operated by Imperial Eminence Cyberguard Corporation or its designated operating entity ("IECC"). AOArose and Voidreign Institute are operating trade names and product brands of IECC. IECC's formal corporate registration, jurisdictional domicile, and entity structure are subject to finalisation in connection with the official commercial launch of The Ivory Index. Until such time, this Agreement is entered into with IECC in its capacity as the operating entity responsible for the Software, and all rights and obligations herein are held by and enforceable against IECC in that capacity. References to AOArose or Voidreign Institute throughout this Agreement shall be read as references to IECC or its designated operating entity, as applicable.
13.5 Zero-Fee Service — No Commercial Liability. The Ivory Index is provided at zero monetary cost to the User. No fees, subscriptions, payments, or charges of any kind are collected from Users in connection with the Software. Accordingly, to the fullest extent permitted by applicable law: (a) the Licensor assumes no commercial liability of any kind arising from the User's use of a free, pre-commercial service; (b) the absence of any fee exchange precludes the formation of a consumer contract in jurisdictions where consumer protection obligations attach only to paid transactions; (c) the User acknowledges that they receive the Software gratuitously and that the risk of use is borne entirely by the User.
Article XIV

General Provisions

14.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings, negotiations, and representations.
14.2 Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
14.3 No Waiver. Failure by the Licensor to enforce any provision of this Agreement shall not constitute a waiver of the Licensor's right to enforce that provision or any other provision in the future.
14.4 Assignment. The User may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Licensor. The Licensor may assign this Agreement freely.
14.5 Force Majeure. The Licensor shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labour disputes, government actions, or internet outages.
14.6 Language. This Agreement is drafted in the English language, which shall be the governing language for all purposes. Translations, if any, are for convenience only.
14.7 Consumer Rights — Mandatory Carve-Outs. Nothing in this Agreement excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or condition, that cannot be excluded, restricted, or modified by contract under applicable mandatory consumer protection law in the User's jurisdiction. Where such law grants the User rights that this Agreement purports to exclude, those rights apply to the extent required. In particular, where a jurisdiction's consumer law requires a cooling-off or withdrawal period, the User may exercise that right within the legally mandated period by notifying the Licensor at legal@imperialecc.com. Given that the Software is provided at zero cost, no monetary refund is applicable; the right of withdrawal is exercised by ceasing use and uninstalling the Software.
14.8 Zero-Fee Consumer Position. The Software is provided gratuitously at zero monetary cost. Consumer protection regimes that attach liability, warranty obligations, or refund rights exclusively to paid transactions do not apply to the Software as currently offered. The Licensor makes no waiver of this position and reserves the right to enforce it in any jurisdiction where a court considers whether consumer law applies to a free software product.
